Terms of service

These terms are the contract between your company and us. They are written to be understood in one read: if anything here strikes you as ambiguous, write to us and we will clarify it in the document, not just in the email.
Who provides the service and who contracts it
Matterial is a product of Darwwwin Experience, S.A. de C.V. ("Darwwwin"), tax ID DEX201009DP4. Darwwwin provides the service and is who you contract with.
The party contracting is your COMPANY, not you personally, even though you are the one opening the account. By accepting these terms you state that you have authority to bind your company.
These terms apply to everyone equally, in the three languages we publish in. There is no soft version for some markets.
Your account and acceptable use
You are responsible for what happens inside your account, including what the people you invite do. Look after the credentials and tell us if you think someone got in without permission.
What cannot be done, plainly: use the platform for anything illegal; try to reach another company's data; reverse engineer or resell the service as if it were yours; automate loads that degrade the service for others; or upload content you have no rights to.
If we detect any of that we may suspend access. Unless there is immediate risk, we warn you first and give you a chance to fix it.
Plans, credits and billing
There is a free plan with limits and paid plans. The prices and limits in force are those published on the pricing page at the time of contracting.
Artificial intelligence features consume credits. Each plan includes a monthly allowance and you can buy additional credits. Credits included in the plan renew with the cycle and do not roll over; separately purchased credits do not survive the cycle renewal either, and this is stated before you buy them.
The subscription renews automatically until you cancel. You can cancel at any time and the service runs to the end of the period already paid for. We do not refund periods already started, unless the service failed through our fault.
If you move to a higher plan mid-cycle, the difference is charged pro rata. If you exceed a plan limit, we tell you before something happens, not after.
Your data is yours
Everything you upload or generate in Matterial — your budgets, your unit prices, your job photos, your contracts, your history — is yours. We acquire no ownership over it.
You grant us only the licence needed to provide the service: host it, process it, show it to you, back it up and send it to the providers listed in the privacy notice when a feature requires it. Nothing more, and only while the relationship lasts.
We do not use your data to train artificial intelligence models, ours or anyone else's. We do not use it to build derivative products. We do not sell it.
You can export your information from the platform whenever you like, without asking us and without it being a procedure. If you cancel, you have 90 days to take it before it is deleted.
We may use AGGREGATED AND ANONYMOUS data — which does not allow identifying your company or any person — to understand how the product is used and improve it.
Availability and support
We work to keep the platform always available, but we do not commit to a contractual uptime percentage on standard plans. If you need a service level agreement, let us talk.
We perform maintenance. If it will interrupt the service noticeably, we warn you beforehand.
Support is by email and through the platform's help centre. Matterial is designed not to need human support day to day; that does not mean there is none when something breaks.
What we guarantee about artificial intelligence, and what we do not
Matterial's AI helps you capture and summarise: it transcribes what you dictate, reads a receipt, summarises a long document. It is fast and it is sometimes wrong, like any model.
That is why nothing it produces is saved without you confirming it, and why the calculations that decide money — unit prices, material take-off, progress, progress billing — are deterministic: the engine does them, not a model.
What the AI proposes is not professional advice. Reviewing a budget, a progress billing or a legal document remains yours, or that of whoever signs for your company.
What is ours
The software, the design, the Matterial brand, the calculation engines and the content we publish belong to Darwwwin. Contracting the service gives you the right to use it, not to copy it or rebuild it.
If you send us a suggestion and we implement it, the improvement belongs to the product and creates no payment obligation or co-ownership. We will thank you all the same.
Confidentiality
We treat what is inside your account as confidential: your prices, your margins, your contracts, your clients. We do not discuss your operation with anyone and we do not use it as an example without your written permission.
We only access your data when it is necessary to support you or to meet a legal obligation, and it is logged.
Cancellation and termination
You can cancel whenever you like from the platform. There is no penalty and no minimum term.
We may end the relationship if you breach these terms seriously or repeatedly, or if you stop paying. Except in cases of immediate risk or illegality, we give 30 days' notice and that time to export.
Whatever happens, you have 90 days from cancellation to export your information. After that it is deleted according to the periods in the privacy notice.
Warranties and liability limits
The service is provided as is. We do not warrant that it is free of errors nor that it fits a specific purpose we have not agreed in writing.
Our total liability towards your company, for any cause and in any twelve-month period, is limited to what you have paid us in those twelve months. We are not liable for lost profit, lost business or indirect damages.
That limit does not apply to wilful misconduct, gross negligence, or anything the applicable law does not allow to be limited.
Matterial is a management tool: it does not replace an engineer's technical judgement, a structural assessment, or review by an accountant or a lawyer.
Changes to the service and to these terms
The product changes: we add features and sometimes retire one almost nobody uses. If we retire something relevant, we give at least 30 days' notice.
If we change these terms substantially, we tell you 30 days in advance inside the platform and by email. If you disagree, you can cancel before they take effect and we refund the unused part of the period.
Governing law and disputes
These terms are governed by the laws of the United Mexican States.
Before going to court, both of us commit to trying to resolve it by talking for 30 days. If it is not resolved, the parties submit to the competent courts of Mexico City, waiving any other jurisdiction.
